Agreement Between Dental Locums and Clients

Overview:

This agreement sets out the terms by which Precision Placements Dental Staff LTD facilitates professional dental locum services. It governs the relationship between independent dental professionals (Locums) and Clients engaging them for temporary assignments.

  • (A) These terms constitute a service contract under which the Locum provides agreed services directly to the Client.
  • (B) This document acts as a master agreement, applying to all individual bookings ("Engagements") made through our platform or any digital system used by both parties.
  • (C) All payments for locum work are ultimately the Client's responsibility. While transactions may be processed via a third party, the financial obligation rests solely between the Client and the Locum.

1. Key Definitions

Unless the context states otherwise, the following terms apply:

  • "Locum Profile Documents": Any submitted forms, CVs, qualifications, or supporting evidence about the Locum's suitability, tax status, compliance, and experience.
  • "Timesheet System": The tool used within our platform to log working hours and attendance, which generates electronic records for payment purposes.
  • "AWR": Refers to the Agency Workers Regulations 2010.
  • "Business Day": Any weekday (Monday to Friday) when UK banks are operational, excluding public holidays.
  • "Client": The dental practice or organisation booking services through Precision Placements Dental Staff LTD.
  • "Data Protection Legislation": This includes all UK and EU regulations concerning personal data, notably GDPR and any successors.
  • "Regulatory Authority": Any legal body responsible for upholding data protection laws and ensuring compliance.
  • "Engagement": A confirmed locum booking governed by these terms, including assignment details such as dates, duties, location, pay rate, and H&S notes.
  • "Booking Details": Specific information available on the platform for each Engagement.
  • "Pay Rate": The Locum's agreed hourly rate, including any applicable late cancellation charges.
  • "Force Majeure": Situations beyond either party's control (such as natural disasters, strikes, or pandemics) that hinder performance under this agreement.
  • "This Agreement": The terms outlined in this document governing the relationship between Locum and Client.
  • "Professional Standards": The expected level of skill, care, and judgment any competent dental locum should uphold.
  • "Locum": A self-employed dental professional who is listed on our platform and engaged for a temporary assignment.
  • "Locum Services": The work performed by the Locum for a specific Engagement.
  • "Loss": Any type of liability, damage, or cost incurred by either party, including legal fees, fines, or reputational harm.
  • "Platform": Our digital service through which Clients and Locums arrange assignments.
  • "Late Cancellation Charge": A fee charged when a Client cancels a booking with insufficient notice. Cancellations made more than 18 hours in advance incur no charge. Cancellations within 18 hours will incur the following fees:
  • "Systems": Refers to any IT infrastructure, telecommunications networks, or digital security systems involved in booking or supporting the Engagement.
  • "Vacancy": The details of a specific assignment offered by the Client, including proposed start time, location, and requirements.

Cancellation Policy, Definitions & Responsibilities

Cancellation Fees

Cancellations made by the Client less than 18 hours prior to the scheduled start of the Engagement will result in a late cancellation charge. This charge is equivalent to the Locum's first 8 hours of work at the agreed hourly rate (as per the original assignment terms), as though the session had proceeded as planned.

1.1 Any other capitalised term not otherwise defined here should be interpreted based on its usage in the Precision Placements Dental Staff LTD platform.

1.2 Any reference to legislation in this agreement includes that legislation as updated, re-enacted, or extended from time to time, along with any related subordinate laws and regulations.

1.3 For clarity throughout this document:

  • Words referring to persons also include companies or other legal entities;
  • The singular includes the plural and vice versa;
  • Gendered terms apply to all genders equally.

1.4 These terms apply to each individual Engagement arranged through Precision Placements Dental Staff LTD. Where any inconsistency arises between the Engagement details and this agreement, the specific Engagement details will take priority.

2. Responsibilities of the Locum

The Locum agrees to:

(a) Deliver their services with professionalism, integrity, and clinical competence, maintaining the standards expected within UK dental care.

(b) Follow all relevant site-specific procedures, health and safety regulations, and security protocols at the Client's premises, and report any risks or unsafe conditions observed.

(c) Respect all Client protocols and internal policies, except where those apply exclusively to permanent employees.

(d) Uphold the Client's reputation and avoid any conduct that might negatively affect the Client's business or public image.

(e) Provide reasonable notice if unavailable for a confirmed booking, using the appropriate channels (e.g. telephone or email to Precision Placements Dental Staff LTD).

(f) Supply up-to-date copies of relevant qualifications, certifications, and authorisations as required by law or by the Client to perform duties safely and legally.

(g) Accept full responsibility for any negligence, misconduct, or failure to act, and indemnify the Client against any resulting losses or damages.

3. Booking Cancellations & Performance Expectations

As a member of the Precision Placements Dental Staff LTD community, all Locums are expected to maintain a high level of professionalism and reliability. These standards reflect our commitment to delivering consistent, trustworthy support to dental practices across the UK.

  • Timely attendance at shifts
  • Professional behaviour and job performance
  • Punctual arrival and full shift completion
  • Meeting practice-specific requirements
  • Client and platform feedback
  • Adherence to company and platform rules

Failing to Attend a Confirmed Booking

Failure to attend a confirmed shift without proper notice has serious consequences. This not only disrupts the dental practice relying on your attendance but also prevents other qualified professionals from taking the opportunity.

  • Locums who fail to attend without officially withdrawing via the platform or notifying Precision Placements will face immediate suspension or removal from the platform.
  • Giving less than one hours' notice will be treated as a no-show, given that it's too late to arrange cover.

Shift Reliability & Cancellation Accountability

Once selected for a shift, the Locum is expected to honour that commitment. Repeated cancellations negatively affect practice operations and reduce trust among clients.

  • All Locums have an internal Reliability Score, which may be visible to practices. This score reflects past attendance and professionalism.
  • Frequent cancellations may result in fewer shift opportunities, account review, or deactivation.

4. Reliability Score Policy

Precision Placements tracks Locum reliability to ensure consistent service quality.

5. Client Responsibilities

The Client agrees to:

  • Provide a safe and lawful working environment and inform the Locum of any site-specific procedures or hazards.
  • Confirm shift hours and duties clearly ahead of time via the Platform.
  • Supply necessary tools, protective equipment, and relevant access details.
  • Complete digital timesheets accurately to ensure timely payment.
  • Offer an induction and basic orientation at the start of each Engagement.
  • Notify Precision Placements of any concerns or incidents related to Locum performance or conduct.

6. Payment & Invoicing

  • The Locum will invoice the Client (either directly or via the Platform) based on hours worked and agreed rates.
  • Payments are due in accordance with the timeline outlined in the Engagement confirmation.
  • Reasonable pre-approved expenses may be reimbursed if supported with valid receipts.
  • VAT is applicable to all invoices and will be charged at the prevailing rate, where relevant, in accordance with UK tax law.
  • Discrepancies in timesheets or invoices should be raised within 48 hours of receipt.

7. Independent Status of the Self-Employed Locum

  • Locums are not employees of Precision Placements or the Client.
  • The Locum retains the right to accept or reject any Engagement and may provide services to other Clients.
  • The Client has no obligation to offer continued work beyond the current Engagement.
  • The Locum is responsible for maintaining necessary legal and professional compliance, including tax reporting, insurance, and right-to-work documentation.
  • Should the status or nature of services change, both parties must notify each other immediately.

8. Insurance & Compliance

Locums must hold and provide evidence of:

  • Professional Indemnity Insurance
  • Public Liability Insurance
  • Up-to-date DBS certificate (if applicable)
  • Proof of qualifications and right to work in the UK

Failure to supply or update required documents may result in account deactivation.

9. Data Protection

All parties must comply with applicable data protection laws, including the UK GDPR. Precision Placements processes personal data in accordance with our Privacy Policy.

10. Governing Law

These terms are governed by the laws of England and Wales. Any disputes arising from these Terms will be resolved through good faith negotiations or, if necessary, legal action in the appropriate courts.

11. Termination

11.1 Each Marketplace Engagement constitutes a separate contract and will automatically terminate upon the completion of the period stated in the relevant Marketplace Engagement Details.

11.2 The Client may terminate a Marketplace Engagement with immediate effect at any time prior to the scheduled end date by providing notice through the Platform, under any of the following circumstances:

(a) The Locum is in breach of any provision of these General Terms and Conditions which, in the reasonable opinion of the Client, is incapable of remedy; or, where such breach is capable of remedy, the Locum fails to remedy it to the Client's satisfaction within one (1) Business Day of receiving written notice to do so, at no additional cost to the Client.

(b) The Locum, in relation to these terms, commits any act or omission involving dishonesty, gross negligence, or incompetence; is convicted of a criminal offence (excluding minor road traffic offences where driving is not part of the Locum's duties); or is declared bankrupt, becomes subject to insolvency proceedings, enters into a composition with creditors, or has an administration or winding-up order made against them.

(c) The Client receives or becomes aware of information that provides reasonable grounds to believe the Locum is unsuitable to provide the Locum Services. If the information suggests possible unsuitability, the Client may investigate further and terminate the Engagement if unsuitability is reasonably confirmed.

(d) The Locum fails to provide any information requested by the Client on or prior to the agreed start date of the Marketplace Engagement.

11.3 The expiry or termination of any Marketplace Engagement will be without prejudice to any accrued rights, remedies, or claims the Client may have arising from any act or omission of the Locum or Supplier occurring prior to termination.

12. Locum Information and Warranties

12.1 The Locum warrants and represents the following:

(a) That all information provided via the Platform, including in Application Documents, is accurate and complete.

(b) That they possess the experience, training, qualifications, and any professional authorisations required by law, regulatory bodies, or as reasonably requested by the Client to undertake the Locum Services.

(c) That they have no criminal convictions that would reasonably affect the Client's decision to grant them access to the Client's premises, systems, or patients. The Locum confirms they are willing to undertake the assignment as outlined in the Marketplace Engagement.

(d) That full and truthful disclosure has been made regarding any previous or ongoing disciplinary actions, complaints, or performance reviews relevant to the provision of Locum Services.

13. Data Protection

13.1 For the purposes of this section, the terms "Data Subject", "Personal Data", and "processing" have the meanings given under applicable Data Protection Laws, including the Data Protection Act 2018 and the UK GDPR.

13.2 Each party shall comply with applicable Data Protection Laws when processing Personal Data under or in connection with this Agreement. This processing shall relate to:

  • Categories of Data Subjects: Patients of the Client
  • Types of Personal Data: Patient details, including sensitive health-related data
  • Purpose: Provision of direct care to the Client's patients
  • Duration: For the duration of the relevant Marketplace Engagement

13.3 Each party shall maintain records of processing activities as required under Data Protection Laws and make such records available to relevant supervisory authorities upon request.

13.4 Where the Locum receives or processes Personal Data on behalf of the Client, the Locum agrees to:

(a) Process such data only in accordance with the Client's documented instructions, unless otherwise required by law (in which case the Locum shall, where lawful, notify the Client before processing).

(b) Not process Personal Data for any purpose other than as stated in this Agreement.

(c) Ensure all personnel with access to Personal Data are reliable and under binding confidentiality obligations.

(d) Implement appropriate technical and organisational measures to protect Personal Data against unauthorised or unlawful processing, loss, destruction, or damage.

(e) Not transfer Personal Data outside the UK or EEA without prior written consent from the Client and appropriate safeguards in place.

(f) Notify the Client within 24 hours in the event of any Personal Data breach, loss, or damage.

(g) Only use approved sub-processors or third parties with the Client's prior written consent and remain fully liable for their actions.

(h) Not disclose any Personal Data unless expressly instructed by the Client or required by law.

(i) Upon termination or expiry of the Agreement, return or permanently delete all Personal Data unless otherwise legally required to retain it.

(j) Provide reasonable cooperation and information to the Client and any supervisory authority to demonstrate compliance.

(k) Assist the Client in meeting their obligations under Articles 30–36 of the UK GDPR.

(l) Notify the Client within two (2) Business Days if a Data Subject makes a request to exercise their rights under Data Protection Laws.

(m) Cooperate fully with the Client in responding to any such request.

13.5 If either party receives a complaint or communication relating to the processing of Personal Data by the other party, it shall notify the other party promptly and provide reasonable cooperation.

Schedule 5 — Information Collected from Locum Dental Nurses

As part of our registration and onboarding process, Precision Placements Dental Staff LTD collects key professional information from Locum Dental Nurses to help ensure a high standard of service across our platform. Schedule 6 — Use of the Precision Placements Dental Staff LTD Platform

These terms apply specifically to your use of the Precision Placements Dental Staff LTD digital platform (referred to as the "Platform") and related services (collectively the "Service"). Whether you are a dental professional (a "Locum") or a dental practice (a "Client"), these conditions apply to your account usage.

Use of our platform constitutes acceptance of these terms as well as our Privacy Policy. If you do not agree, you must not access or use the Service.

1. Account Registration

To use our Service, both Locums and Clients must register for an account ("User Account"). By creating a User Account, you confirm that:

  • You are based in the United Kingdom;
  • All registration details you provide are accurate and complete;
  • You will keep your information up to date at all times.

Attempts to circumvent the platform's intended usage, including but not limited to automation, scraping, or reverse-engineering, are strictly prohibited.

2. Acceptable Use Policy

By using the Service, you agree to:

  • Use the Platform lawfully and ethically;
  • Avoid infringing on the rights of others;
  • Not interfere with or restrict other users' access to the Service.

You are responsible for the content you post, including any written comments or free-text entries. You agree to indemnify Precision Placements Dental Staff LTD against any claims or losses arising from such content, especially where it may be deemed defamatory, misleading, or harmful.

3. Prohibited Conduct

You must not use the Service to:

  • Submit false, misleading, or outdated registration information;
  • Upload or transmit offensive, abusive, defamatory, or discriminatory material;
  • Harass, abuse, or intimidate other users;
  • Re-register after your account has been terminated;
  • Violate privacy laws by requesting sensitive personal data from Locums unless legally justified;
  • Post assignments that pose unacceptable health and safety risks;
  • Exploit the system for commercial gain outside of intended use;
  • Introduce malicious software, phishing links, or attempt unauthorized access;
  • Attempt to bypass security or technical restrictions on the Platform;
  • Use scraping tools, bots, or any form of automation;
  • Solicit users for unrelated commercial purposes.

4. Intellectual Property and Content Use

All materials on the Platform (text, layout, branding, etc.) are the property of Precision Placements Dental Staff LTD. You may view, download, or print content solely for personal and non-commercial use. You may not:

  • Modify or republish any part of the website without express permission;
  • Reuse content for your own business or third-party benefit;
  • Distribute any information taken from the Platform outside of the intended use case.

Content Provided by Users

As a user of the Precision Placements Dental Staff LTD platform (the "Platform"), you are fully responsible for any information, feedback, profile data, documents, messages, reviews, or other materials ("User Content") you submit, display, or transmit through the Platform or communicate with other users of our services.

You agree not to post or share any false, misleading, defamatory, or knowingly inaccurate content, and you confirm that all opinions shared are sincerely held. By submitting User Content, you warrant that you have the legal right and authority to post such content, including content concerning third parties.

By uploading or submitting User Content to the Platform, you grant Precision Placements Dental Staff LTD a non-exclusive, worldwide, royalty-free, perpetual, and irrevocable license to use, reproduce, distribute, adapt, and publish the content as necessary for the operation of the Platform and provision of our services.

Precision Placements Dental Staff LTD reserves the right to reject, remove, or disable access to any User Content at its discretion, particularly where such content may breach our Terms, infringe on the rights of others, or violate laws or regulations. We comply with all applicable data protection laws when handling sensitive personal data.

We may, but are not obliged to, monitor or moderate User Content and we do not guarantee its accuracy, reliability, or legality. Views expressed by users are their own and are not endorsed by Precision Placements Dental Staff LTD.

2. Third-Party Links and Websites

Our Platform may contain links to external websites operated by third parties. These links are provided for convenience only. Precision Placements Dental Staff LTD accepts no responsibility for the content, security, or handling of personal data by such third-party websites. You access them at your own risk.

3. Indemnification

You agree to fully indemnify and hold harmless Precision Placements Dental Staff LTD, its officers, affiliates, employees, and service partners from any claims, liabilities, legal costs, or losses arising from:

  • Content you post, transmit, or otherwise make available via the Platform;
  • Your use of the Platform or related services in breach of these Terms or applicable laws;
  • Any violation of third-party rights, including intellectual property rights or data protection laws.

4. Account Termination and Service Suspension

Precision Placements Dental Staff LTD reserves the right to:

  • Terminate or suspend your access to the Platform or any part of the service;
  • Remove any content submitted by you;
  • Deactivate your account at any time, with or without prior notice, especially in cases of non-compliance with these Terms.

Termination may be immediate where a breach is identified or after a period of prolonged inactivity. If your account is terminated for violation of our Terms, you agree not to re-register under a different name or identity.

We may also close accounts and end services with thirty (30) days' notice if we choose to discontinue our operations or services in the UK.

5. Updates to Terms

These Terms may be updated by Precision Placements Dental Staff LTD from time to time. Changes will take immediate effect for non-material updates or for new features/services, and after 30 days for changes that could materially impact your rights or obligations.

The latest version will always be accessible on our website. Continued use of the Platform following any update constitutes acceptance of the revised Terms. We encourage you to check back regularly.

6. Privacy and Data Use

By using our Platform, you agree to the collection and use of your personal information as described in our current Privacy Policy. These documents explain how your data is handled, stored, and protected in line with UK data protection laws.

7. General Legal Terms

  • If any provision within these Terms is found to be unlawful, invalid, or unenforceable, the remaining provisions will remain effective.
  • These Terms constitute the full agreement between you and Precision Placements Dental Staff LTD regarding use of the Platform and supersede any prior communications or agreements.
  • Only you and Precision Placements Dental Staff LTD have rights under these Terms. No third party shall have any rights under the Contracts (Rights of Third Parties) Act 1999.
  • These Terms shall be governed by the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the English courts.
